Binding Legal Agreement

- Attempting to recruit course participants for outside business opportunities
- Engaging in conduct that violates professional ethics standards
- Disrupting course sessions or interfering with others' learning
4. Content Guidelines
When sharing content, participating in discussions, or providing feedback, you must ensure your contributions are respectful, relevant, and appropriate for a professional development context. Content that is defamatory, offensive, discriminatory, or that violates the rights of others is not permitted.
User Responsibilities
1. Accuracy of Information
You are responsible for ensuring that all information you provide to Sendara is accurate, complete, and current. This includes enrollment information, contact details, payment information, and any professional background details relevant to course participation. You agree to promptly update any information that changes.
2. Indemnification
You agree to indemnify, defend, and hold harmless Sendara, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms and Conditions, your use of our services, or your violation of any rights of another party.
3. Privacy and Data Protection
You acknowledge that you have read and understood our Privacy Policy. You are responsible for ensuring that you have the necessary rights and permissions to provide any personal information about third parties to us. You agree to use other participants' information only for course-related purposes and in accordance with applicable privacy laws.
4. Third-Party Interactions
Your interactions with other participants, instructors, or third-party service providers accessed through our services are solely between you and such parties. Sendara is not responsible for any disputes, damages, or issues arising from these interactions. We encourage professional and respectful engagement but do not guarantee the conduct of other users.
Age Restrictions and Requirements
Our services are designed for adult professionals and are not intended for individuals under 18 years of age. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms and Conditions.
If we discover that we have collected information from someone under 18, we will delete that information immediately. If you believe we may have information about someone under 18, please contact us.
Disclaimers and Limitation of Liability
1. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Sendara disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
2. Professional Development Results
We make no guarantees regarding specific outcomes from participation in our courses. Leadership development is a personal journey that depends on many factors including your commitment, application of learning, organizational context, and individual circumstances. While we strive to provide high-quality education and support, we cannot guarantee career advancement, promotions, increased compensation, or specific professional outcomes.
3. Limitation of Liability
To the maximum extent permitted by applicable law, Sendara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of or inability to access or use our services
- Any conduct or content of any third party on our services
- Any content obtained from our services
- Unauthorized access, use, or alteration of your transmissions or content
In no event shall Sendara's total liability to you for all claims exceed the amount paid by you to Sendara for the specific service giving rise to the claim during the six months prior to the claim.
4. Consequential Damages Exclusion
Sendara shall not be liable for any consequential, incidental, indirect, exemplary, punitive, or special damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of our services, even if Sendara has been advised of the possibility of such damages.
5. Force Majeure
Sendara shall not be liable for any failure to perform its obligations under these Terms and Conditions where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, pandemic, government restrictions, or failure of telecommunications or internet services.
Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of , without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tokyo, for the resolution of any disputes.
2. Dispute Resolution
If any dispute arises between you and Sendara, we encourage you to first contact us directly to seek an informal resolution. Many disputes can be resolved through good-faith discussion and cooperation. If we cannot resolve a dispute informally, you agree that any legal action shall be brought in the competent courts of Tokyo, Japan.
3. Class Action Waiver
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive the right to participate as a plaintiff or class member in any class action lawsuit.
General Provisions
1. Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that comes closest to the intention underlying the invalid provision.
2. Waiver
No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Sendara's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
3. Assignment
You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without Sendara's prior written consent. Sendara may assign or transfer these Terms and Conditions at any time without restriction. Any attempted assignment in violation of this provision is void.
4. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Terms of Service, and any course-specific terms, constitute the entire agreement between you and Sendara regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
5. Survival
All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

The headings and subheadings in these Terms and Conditions are for convenience only and shall not affect their interpretation.
